Terms of Service

These Terms govern the use of BackupLatte (the "Service"), available at backuplatte.com and app.backuplatte.com.
The Service is provided by Stanislav Sysoiev, a sole trader registered in the Polish Central Register and Information on Economic Activity (CEIDG), ul. Lwowska 6G/25, 61-131 Poznań, Poland, NIP 7822934324, REGON 527330815, operating under the brand BackupLatte ("BackupLatte", "we", "us"). Contact: [email protected].
1. Who these Terms apply to
- Business Customer — anyone using the Service for their business or professional activity, including an organisation on whose behalf an individual accepts these Terms. The individual confirms they are authorised to bind it.
- Consumer — a natural person using the Service for purposes not directly related to their business or professional activity.
- Protected Sole Trader — a natural person running a business who concludes the contract in connection with that business, where the contract is not of a professional nature for them (under Polish law, przedsiębiorca na prawach konsumenta, art. 7aa of the Consumer Rights Act). Protected Sole Traders have the consumer rights the law gives them.
Where these Terms say "you", they mean any of these. Where a provision applies only to Business Customers, it says so. Nothing in these Terms limits the rights that mandatory law gives to Consumers or Protected Sole Traders.
2. What the Service does
BackupLatte makes automatic and on-demand backups of your Linear workspace, lets you download them, and can restore them into Linear.
- You connect a Linear workspace through Linear's OAuth. We request read and write access: read to make backups, write only to perform restores you start. With extended coverage we also request Linear's admin access, to read the data listed below.
- Backups include the workspace data Linear's API makes available to the connected account: issues and their history, comments, relations, projects, cycles, teams and memberships, workflow states, labels, users, documents, initiatives, milestones, updates, releases, customers, views, templates and more, plus copies of the files uploaded to Linear that this data links to. With extended coverage, which needs a Linear admin, they also include organization settings, the audit log, invitations, integrations and webhooks. Personal inboxes, favourites, drafts, private views, credentials and integration or webhook secrets are not included. Some data may be unavailable on your Linear plan; each backup lists what it contains and any gaps.
- Restores write a backup into a Linear workspace you have connected: another workspace, such as a new, empty one, or the backed-up workspace itself, where only what is missing from it is brought back. 43 of the backed-up sets can be restored, from teams, workflow states and labels to issues, documents, comments and customer requests. The rest — such as users, change history, the audit log, invitations, integrations and webhooks — stays in the download. The documentation lists every set.
- Backups run once a day at the hour you choose. You can also start one manually, once per workspace every 24 hours; a manual backup that fails does not count.
- Backups are kept for the retention period you set per workspace (1–365 days, 7 by default). A daily cleanup deletes backups older than that, including the most recent one if no newer backup exists. A backup that is still running or is being used by a restore is deleted at a later cleanup; if storage is unavailable, deletion is retried. Deletion therefore happens on or after the end of the retention period, not exactly at it.
- A restore creates records through Linear's API, as the Linear user who connected the target workspace. Restored records get new IDs, and Linear gives issues new numbers. The creation dates of issues, comments, customers and releases are kept; comments and updates written by someone else name their original author in the text. People are matched by email to members of the target workspace; BackupLatte does not invite anyone. Workspace settings are copied only into a workspace that held no issues, projects or initiatives when the restore began. What the target's Linear plan does not offer is not restored, and the restore reports it.
- Every restored record gets an identifier tied to the target workspace, so a retried, resumed or repeated restore recognises what it already created and does not create it again. Records restored into a workspace that already holds work are added next to it and cannot be removed in one step — check the result in Linear.
- We email the account's address when a workspace's backups fail or have gaps, and again when they work again. You can turn these emails off for each workspace.

3. Technical requirements
To use the Service you need: a current version of Chrome, Firefox, Safari or Edge with JavaScript, cookies and session storage enabled; an internet connection; an email address; and a Linear account allowed to authorise OAuth applications for the workspace you connect.
4. Your account and the contract
The contract for the Service is concluded when you create an account, and runs until the account is deleted. Creating an account is free; backups and restores require a paid subscription (section 5).
You must provide a valid email address and keep your password secure. You are responsible for activity under your account. Tell us promptly at [email protected] if you suspect unauthorised access. You must be at least 18 years old.
You can end the contract at any time by asking us to delete your account (section 7).
5. Plans, prices and payment
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for our orders and handles payment-related customer service and returns. Your purchase is a transaction with Paddle under its Buyer Terms, which apply in addition to these Terms. Paddle calculates and collects applicable taxes and issues invoices. - The Service is sold as monthly subscriptions, priced by the number of active users in your connected Linear workspaces. Every active user counts, including guests; deactivated users and app/bot users do not. Counts are added up across all your active connected workspaces, so a person who is a member of two of them counts twice.
- Current plans and prices are shown on the pricing page in USD, before taxes. Paddle's checkout shows the total price, including applicable taxes, before you pay.
- Subscriptions renew automatically each month until cancelled. You authorise Paddle to charge your payment method at each renewal.
- Without an active subscription, scheduled and manual backups and restores stop, but you can still download existing backups until they expire.
- Member limit. If your active users exceed your plan's limit, you have 7 days to upgrade or reduce them. After that we may block new backups and restores until you are within the limit.
- Storage. Each plan includes 3 GB of storage per paid member (15 GB on Starter), shared by all your connected workspaces. It counts the backups you keep and the files copied from Linear, each file once; the dashboard shows how much is left. Over the limit, backups continue, but files not stored yet are not copied and those backups are marked as having gaps, until you are within the limit again, for example by shortening retention, removing a workspace or upgrading. Storage is checked when a backup starts copying files, so backups running at the same time can briefly go over it.
- Failed payments. If a renewal payment fails, access continues for 7 days while Paddle retries. If payment is still not received, paid features are suspended until it is.
- Plan changes take effect immediately, including the new member limit. Before you confirm, the app shows the amount: an upgrade is prorated and charged immediately; a downgrade is prorated as a credit applied at your next billing date.
- We may change prices with at least 30 days' notice by email. The new price applies from your next renewal after the notice period; you can cancel before it takes effect.
6. Cancellation, withdrawal and refunds
- You can cancel at any time from the billing page (Paddle customer portal). Cancellation takes effect at the end of the current billing period and you keep access until then.
- Consumers and Protected Sole Traders may have a statutory right to withdraw from the purchase within 14 days. Because Paddle is the seller, withdrawal is exercised with Paddle under its Buyer Terms and refund policy.
- We also offer a voluntary 14-day money-back guarantee on the first payment. Refunds are always processed by Paddle. Details are in our Refund Policy.
7. Your data
- You keep all rights to the data in your Linear workspace and your backups ("Customer Data"). You grant us the limited right to access, copy, store and process Customer Data only to provide the Service to you.
- Where you process personal data of others in your Linear workspace as a controller, our Data Processing Addendum applies and forms part of these Terms. How we handle personal data about you is described in our Privacy Policy.
- You are responsible for having the right to connect the Linear workspace and to let us process its data.
- What happens to your data:
- Cancelling a subscription: when the cancellation takes effect at the end of the billing period, backups and restores stop. Your account, connected workspaces and existing backups stay; backups keep expiring under your retention setting.
- Disconnecting a workspace deletes our copy of its Linear access tokens and stops all work for it. Its existing backups stay until they expire.
- Deleting a workspace in the app removes it and its backup history immediately; the backup files are deleted from storage within 2 days.
- Deleting your account: email [email protected] from the account's address. From the start of deletion you can no longer sign in, connect workspaces or buy a plan. A subscription that can still renew must be cancelled first. We delete the account, all workspaces and all backups within 30 days, as described in the Privacy Policy. Download anything you want to keep before you ask.
8. Acceptable use
You must not: provide or store unlawful content through the Service; use the Service for data you have no right to process; attempt to access other customers' data or our infrastructure; probe, scan or load-test the Service without permission; circumvent plan limits or billing; resell the Service without our written agreement; or use it in breach of law or of Linear's terms.
9. Availability
We work to keep the Service available and backups reliable. Backups can fail, for example when Linear's API is unavailable, rejects a request or changes, and the app shows the status of each backup — check it, and keep your own exports of data you cannot afford to lose. We may carry out maintenance, which we try to schedule outside backup hours.
Consumers and Protected Sole Traders have statutory rights if the Service is not in conformity with the contract, including the rights to have it brought into conformity, to a price reduction or to terminate the contract. These Terms do not limit those rights.
10. Complaints
Send complaints about the Service to [email protected] with your account email and a description of the problem. We respond within 14 days of receipt. Complaints about payments, invoices or refunds are handled by Paddle (paddle.net); we will help where we can.
Consumers may also use out-of-court complaint and redress procedures. In Poland these include the municipal or district consumer ombudsman (miejski/powiatowy rzecznik konsumentów) and the Trade Inspection (Inspekcja Handlowa); see uokik.gov.pl.
11. Liability
Business Customers. To the extent permitted by law:
- our total aggregate liability for all claims arising out of or relating to the Service is limited to the fees you actually paid for BackupLatte in the 12 months before the event giving rise to the claim;
- we are not liable for indirect or consequential damages, loss of profit, loss of revenue or loss of business opportunity;
- we are not liable for loss caused by outages of, or changes to, the Linear API; by failures of third-party infrastructure or providers beyond our reasonable control; or by incorrect configuration or actions of the user.
Consumers and Protected Sole Traders. The limitations above do not apply to the extent they would restrict rights that mandatory law gives you.
Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law, including liability for damage caused intentionally.
12. Changes to the Service and these Terms
We may change or discontinue features. If we discontinue the Service, we will give at least 30 days' notice so you can download your backups, and Paddle will refund any prepaid period not used.
We may update these Terms for important reasons such as changes in law, in the Service or in our providers. We will notify you by email at least 30 days before material changes take effect. If you do not accept them, you can cancel and delete your account before that date; continuing to use the Service after the effective date means you accept the new Terms.
13. Suspension and termination
We may suspend or terminate your account if you materially breach these Terms, fail to pay, or if required by law, with notice where reasonably possible. Unless the law or a serious breach requires otherwise, we give at least 30 days' notice by email before we terminate, so you can download your backups; while access is suspended, existing backups stay downloadable until they expire. You may stop using the Service at any time. When an account is closed, Customer Data is deleted as described in section 7 and the DPA.
14. Governing law and disputes
These Terms are governed by Polish law. For Consumers this choice does not deprive you of the protection of the mandatory laws of the country where you habitually reside.
Disputes with Business Customers are resolved by the common courts competent for Poznań, Poland. Disputes with Consumers and Protected Sole Traders are resolved by the courts competent under the applicable law.
